Suture Express Online Account Sign-up Terms and Conditions
Superseded by GPO or individual contracts. GPO agreements or individual contracts with Suture Express supersede the below terms and conditions. If your account has an active GPO agreement or individual contract with Suture Express, please proceed by checking the box acknowledging that you have read and accept these terms and conditions. If no GPO or individual contract exists, the terms and conditions below apply.
Where not superseded. Please read carefully the terms and conditions below before accepting. As an inducement for Suture Express (SE) to accept orders from or otherwise extend credit to the Applicant (“Customer”), the Applicant hereby agrees to the following terms and conditions. If you do not accept these terms and conditions, please do not register for a Suture Express account. Electronic submission of this form does not guarantee acceptance of orders or extension of credit by Suture Express. Delivery Terms. Products ordered before 3:00 p.m. CST will be shipped out the day of order placement. Non-stock or manufacturer backordered products will ship after receipt from manufacturer. Drop ship products will ship direct from the manufacturer per manufacturer’s delivery terms.
Freight Charge. The freight charge is $11.00 per stock order, ($24.00 for Hawaii and Alaska), regardless of order size on all orders delivered Monday through Friday. Additional charges may apply for special deliveries above and beyond our regular Delivery Terms as outlined above.
Cost. “Cost” is defined as the manufacturer’s invoice price to SE excluding early pay discounts and performance incentives earned by SE from the manufacturer for benefits received by that manufacturer. “Cost” can be contracts negotiated locally between the manufacturer and Customer or GPO contracts negotiated on behalf of Customer and made available to SE specifically for sales to the Customer. In the event that a manufacturer changes terms or conditions of early pay discounts and performance incentives earned by SE during the term of this agreement, SE will provide Customer a 30 day written notice. SE reserves the right to add to the cost for that manufacturer’s product an amount equal to our increased cost resulting from the change to terms or conditions.
Markups. All markups are determined by Customer’s annualized aggregate sales volume and are contingent upon Customer’s commitment to purchase a minimum of 95% of eligible distributed products through Suture Express.
Return Goods Policy. Product returns from Eligible Facilities must conform to the terms of the SE “Return Goods Policy” available here and are subject to an 11% restocking fee.
Payment Terms. Standard payment terms are dictated by your GPO agreement and/or your contract with Suture Express. Any past due invoice will be assessed the following monthly interest rate until it is paid in full, 15-30 days = 1%; 31 or greater days = 2%. All payments are addressed to: Suture Express, PO Box 842806, Kansas City, MO 64184-2806.
Non-Payment. If Suture Express does not receive payment in accordance with the payment terms described above, then SE reserves the right to refuse to deliver product, refuse additional orders, modify payment terms, require pre-payment for future orders, or limit or terminate the extension of credit to the Customer and will be entitled to any other remedies available by law.
Credit Cards. By choosing to pay with a credit card, customer agrees to a 2.5% convenience fee to be charged at the time an order is processed for shipment.
Change of address/phone number. Customer will notify Suture Express promptly of any change of address and/or phone number. SE may send statements, correspondence, and other notices to the address on file until we have a reasonable opportunity to update our records with the new contact information as provided by the Customer.
Warranty. Distributed products are warranted by the manufacturer. Therefore, SE provides no other expressed or implied warranties, including any warranty of merchantability, non-infringement or fitness for a particular purpose. SE’s sole obligation and Customer’s exclusive remedy for breach of any warranty will be, at SE option, to repair or replace the product. SE will not be liable for incidental, consequential or punitive damages.
Compliance. If Customer receives from SE any "discounts or other reductions in price" under Section 1128B(b)(3)(A) of the Social Security Act [42 U.S.C. 1320a-7b(b)(3)(a)], Customer shall disclose the discounts or reductions in price under any state or federal program which provides cost or charge-based reimbursement to the Customer for the Products covered by this Contract.
Confidentiality. Neither party may disclose the terms and conditions of this agreement to a third party without the prior written consent of the other, except as required by law or as necessary to perform its obligations under this agreement. Neither party will make any press release or other public announcement regarding this agreement without the other party’s prior written consent except as required under applicable law or by any governmental agency.
Telephone Monitoring. To ensure that the Customer receives accurate and courteous customer service, telephone calls with Suture Express may be monitored by our employees or agents and Customer agrees to any such monitoring.
Miscellaneous. Both parties shall comply with all laws, rules and regulations applicable to this agreement. All purchases under this agreement are for Customer’s “own use” as such term is defined in judicial or legislative interpretation. Neither party shall have the right to assign its interest in this Contract without the prior written authorization of the other party.
